By accessing or using the vave me enterprise ecosystem Platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

These Terms constitute a legally binding agreement between you (whether an individual or entity) and vave me enterprise ecosystem GmbH ("Company", "we", "us", or "our") regarding your use of the Platform and related services.

2.2 Service Levels

We offer different service tiers with varying features, support levels, and usage limits. Your specific service level is determined by your subscription plan as outlined in your service agreement.

3. User Accounts

3.1 Account Registration

To use certain features of the Platform, you must register for an account. You agree to:

5. Intellectual Property Rights

5.1 Platform Ownership

The Platform and its original content, features, and functionality are owned by vave me enterprise ecosystem GmbH and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

5.2 Your Content

You retain ownership of content you create and upload to the Platform. By uploading content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display your content as necessary to provide the Platform services.

6. Payment Terms

6.1 Subscription Fees

Subscription fees are based on your selected plan and are payable in advance. All fees are non-refundable except as required by law or as explicitly stated in these Terms.

6.2 Transaction Fees

The Platform charges a 2.5% transaction fee on all commerce transactions processed through the Platform. This fee is automatically deducted from transaction proceeds.

6.3 Payment Methods

We accept major credit cards, bank transfers, and other payment methods as specified in your region. You authorize us to charge your selected payment method for all fees incurred.

7. Data Protection and Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We are committed to protecting your data in accordance with GDPR and other applicable data protection regulations.

You acknowledge that you have read and understood our Privacy Policy and agree to our data processing practices described therein.

8. Warranties and Disclaimers

8.1 Platform Availability

We strive to maintain 99.5% uptime for production environments. However, the Platform is provided "as is" and "as available" without warranties of any kind, either express or implied.

8.2 No Warranty

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

IN NO EVENT SHALL ECOSYSTEM OS GMBH BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability to you for any damages shall not exceed the amount you have paid to us in the twelve (12) months preceding the claim.

10. Termination

10.1 Termination by You

You may terminate your account at any time by contacting our support team. Termination does not relieve you of payment obligations for services already rendered.

10.2 Termination by Us

We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or for any other reason at our sole discretion.

10.3 Effect of Termination

Upon termination, your right to use the Platform ceases immediately. We will retain and use your information as necessary to comply with legal obligations and resolve disputes.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Germany, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Berlin, Germany.

For users in other jurisdictions, mandatory local laws may apply and take precedence over these choice of law provisions.
