These Terms of Service ("Terms") govern your use of the Ecosystem Platform services provided by Ecosystem Inc. ("we," "our," or "us"). By accessing or using our services, you agree to be bound by these Terms.

1. Services Description

We provide a comprehensive ecosystem platform that enables businesses to create and manage digital commerce experiences. Our services include platform implementation, hosting, maintenance, and ongoing support.

2. Account Registration

To access our services, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

3. Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these Terms. You shall not use our platform to engage in any activity that violates applicable laws, infringes on intellectual property rights, or harms others.

4. Payment Terms

Services are provided based on the pricing structure outlined in your service agreement. Implementation fees are due upon contract signing. Infrastructure costs are billed monthly. Revenue share is calculated based on your selected pricing model and invoiced monthly based on gross merchandise value.

5. Intellectual Property

You retain all rights to your content and data. We retain all rights to our platform, technology, and any improvements or modifications. Neither party may use the other's intellectual property without express written consent.

6. Data Ownership

You own all data you input into the platform. We act solely as a data processor. You have the right to export your data at any time and to request deletion of your data upon termination of services.

7. Warranties and Disclaimers

We provide our services "as is" and make no warranties, express or implied, regarding the services' fitness for a particular purpose. We do not guarantee uninterrupted or error-free service.

8. Limitation of Liability

Our total liability for any claims arising from these Terms or your use of the services shall not exceed the amount you paid us in the twelve months preceding the claim.

9. Termination

Either party may terminate these Terms with 90 days written notice. Upon termination, we will provide you with a complete export of your data and a reasonable transition period.

10. Governing Law

These Terms are governed by the laws of the European Union and the Netherlands. Any disputes shall be resolved through binding arbitration in Amsterdam.
